TeamMatch Terms of Service

These Terms of Service ("Terms") govern the use of the TeamMatch platform ("TeamMatch", "the Platform") operated by Tesla Solution d.o.o., Pavlovec Zabočki 19A, Pavlovec Zabočki, Republic of Croatia, OIB 77355791759, MB 05919215 ("Tesla Solution", "we", "us").

TeamMatch is a business-to-business platform intended exclusively for businesses, sole traders and other professional users acting within their trade, business, craft or profession. TeamMatch is not intended for consumers, and consumer-protection rules applicable to consumer contracts do not apply to the relationship between Tesla Solution and its business customers.

By creating an account, accessing or using TeamMatch, you confirm that you act on behalf of a business and that you are authorised to bind that business to these Terms.

1. Language of these Terms

These Terms are drawn up in the English language. English is the authoritative version of these Terms. Any translation provided by TeamMatch is provided for convenience only. In the event of any discrepancy or inconsistency between the English version and a translation, the English version shall prevail.

2. What TeamMatch is — and what it is not

TeamMatch is a digital marketplace and administrative tool that allows independent businesses to publish requests for work teams, to publish available work teams, to be matched with each other and to communicate through the Platform.

Tesla Solution provides the Platform only. Tesla Solution is not automatically a party to any contract concluded between users of the Platform. Any agreement on services, works, pricing, deadlines, liability, warranties, insurance or payment between a company requesting a team and a company supplying a team is concluded exclusively between those businesses.

Tesla Solution is not the employer, hirer, agent, staffing agency or temporary work agency of any worker listed, described or managed by a company on the Platform. Tesla Solution does not supply labour and does not direct, supervise or control any worker.

  • Tesla Solution does not guarantee that a request will receive responses, that a team will be found, or that a match will lead to a contract.
  • Tesla Solution does not guarantee the accuracy, quality, legality, qualification, availability or solvency of any user, team, worker or project.
  • Tesla Solution does not guarantee payments between users and is not responsible for collecting them.
  • Tesla Solution does not guarantee any commercial result, revenue, occupancy or utilisation.

3. Eligibility, accounts and account security

You must register a company profile with accurate and current information, including legal name, address, VAT or tax identification where applicable, and valid contact details. You are responsible for keeping the information up to date.

You are responsible for all activity under your account, for the confidentiality of your credentials, and for the acts of the persons to whom you grant access. You must notify us without undue delay of any unauthorised use.

Registration and use of the Platform must not be used to circumvent pricing, subscription obligations or a suspension by creating additional accounts for the same legal entity.

4. Responsibilities of businesses using TeamMatch

Each business using TeamMatch remains fully and solely responsible for compliance with all laws applicable to its activity and to its personnel. This includes, without limitation:

  • employment law, collective agreements and contractual relationships with its own workers;
  • posting-of-workers rules, A1 certificates and other social-security coordination documents;
  • work permits, residence permits, visas and other immigration requirements;
  • professional qualifications, licences, certificates and registrations required for the work performed;
  • minimum wage and applicable remuneration rules in the country where the work is performed;
  • tax, VAT, payroll and social-security obligations;
  • occupational health and safety obligations, personal protective equipment and site rules;
  • insurance, subcontracting rules and liability towards clients and third parties.

5. Marketplace rules

  • Requests and team listings must be genuine, accurate and lawful, and must relate to real capacity or real demand.
  • Contact details of the other party may be disclosed only when a relationship becomes active on the Platform, and must be used only for the purpose of that business relationship.
  • You must not publish personal data of workers in public listings or in chat where it is not necessary for the matching purpose.
  • You must not use the Platform to discriminate unlawfully, to advertise undeclared work, or to offer or accept work under conditions breaching mandatory law.
  • Users may agree between themselves on any commercial terms; those terms bind only them.

6. Prohibited use

  • unlawful, fraudulent, misleading or abusive activity, including misrepresentation of identity, company or capacity;
  • uploading malware, attempting to gain unauthorised access, scraping, reverse engineering or overloading the Platform;
  • using the Platform to build a competing database or to resell access;
  • harassment, hate speech, threats or spam;
  • uploading content or documents that you are not entitled to upload, or that infringe third-party rights.

7. AI-assisted functionality

TeamMatch may provide AI-assisted functionality, including assisted matching between requests and teams, assisted structuring of text, and assisted extraction of information from uploaded documents.

AI-assisted output is provided for convenience and may be incomplete or incorrect. It does not constitute legal, tax, employment or compliance advice. Users remain fully responsible for reviewing and verifying all important information, including document data, dates, qualifications, identities and commercial terms, before relying on it.

8. TeamMatch Office

TeamMatch Office is an internal company management area that allows a business customer to manage its own operational records, such as workers, worker documents, qualifications and expiry dates, timesheets, project assignments, vehicles and accommodation.

TeamMatch Office data is private to the business customer that entered it and is not published on the marketplace.

The business customer determines what information it uploads and for which purposes. The business customer remains responsible for the lawfulness of that processing, for informing its workers, for the accuracy of the records, and for having a legal basis for uploading identity documents and other sensitive workforce information. Where Tesla Solution processes such data on behalf of the customer, it acts as a processor under the Data Processing Agreement.

Customer-uploaded worker documents are not routinely accessible to TeamMatch personnel. Administrative access is restricted to specifically authorised personnel, applying the principle of least privilege, and only where reasonably necessary for customer-requested support, resolving a technical problem, investigating a security incident, preventing fraud or abuse, fulfilling documented customer instructions or complying with a binding legal obligation.

9. Subscriptions, prices and taxes

Registering, publishing requests and team listings and receiving matches are free. A paid subscription is required from the moment a company confirms its first contact with another company on the Platform. One subscription applies per company (legal entity), not per match or per relationship.

EUR 1,050 excluding VAT for the first 3 months (3 x EUR 350) on first activation, then EUR 350 per month excluding VAT through month 12, EUR 300 per month excluding VAT in year two and EUR 250 per month excluding VAT from year three. The price applicable to you is always the price displayed at checkout.

All prices are stated exclusive of VAT. VAT is determined and displayed at checkout on the basis of your country and VAT status; intra-EU business customers with a valid VAT identification number may be subject to the reverse-charge mechanism. You are responsible for providing correct tax details.

Payments may be processed by Stripe or another authorised payment service provider. Payment data is handled by that provider under its own terms; Tesla Solution does not store full card data.

10. Renewal, cancellation and refunds

  • Paid subscriptions renew automatically for the billing period shown at checkout unless cancelled before the end of the current period.
  • You may cancel at any time in the Subscription area of your account. Cancellation prevents future renewals; access normally continues until the end of the period already paid for.
  • Payments already made are generally non-refundable, including for unused time, except where a refund is required by applicable mandatory law.
  • If a payment fails, the subscription may remain in a payment-retry state during the provider's retry and grace process; if payment ultimately fails, access may end.
  • Cancellation of a subscription does not delete your company data or your TeamMatch Office data.

11. Suspension and termination

We may suspend or terminate access, with notice where reasonably practicable, if you materially breach these Terms, if your use creates a legal, security or fraud risk, if payments are not made, or if we are required to do so by law. Where the breach is capable of remedy, we will normally allow a reasonable opportunity to remedy it.

You may terminate at any time by cancelling your subscription and ceasing to use the Platform. Termination does not affect payment obligations already accrued.

12. Data after termination

After termination, your data is retained for as long as necessary for our legitimate purposes and legal obligations (for example accounting and defence of legal claims), and is then deleted or anonymised. You may request export or deletion of customer data in accordance with the Privacy Policy and the Data Processing Agreement, subject to mandatory retention obligations.

13. Intellectual property

The Platform, its software, design and trademarks remain the property of Tesla Solution or its licensors. You receive a non-exclusive, non-transferable right to use the Platform during your subscription.

Content you upload remains yours. You grant us the limited right to host, process and display it as necessary to operate the Platform and provide the service to you.

14. Availability and support

We aim to keep the Platform available and to correct faults within a reasonable time, but the Platform is provided without any guarantee of uninterrupted or error-free operation. Maintenance, updates and third-party outages may affect availability.

15. Liability

To the maximum extent permitted by applicable law, Tesla Solution is not liable for indirect or consequential loss, loss of profit, loss of contracts, loss of business opportunity, project delays, penalties agreed with third parties, or loss caused by the acts, omissions, insolvency or non-performance of another user.

To the maximum extent permitted by applicable law, the aggregate liability of Tesla Solution arising out of or in connection with the Platform is limited to the subscription fees paid by you to Tesla Solution in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for intent or gross negligence, or for death or personal injury caused by negligence.

16. Indemnity

You will indemnify Tesla Solution against third-party claims, fines and reasonable costs arising from your breach of these Terms, from your unlawful use of the Platform, or from your obligations as an employer or contracting party in relation to workers, authorities or clients.

17. Changes to the Terms and to the service

We may amend these Terms for valid reasons, including changes to the service, to our business model or to legal requirements. We will inform registered users of material changes by a reasonable means in advance. Continued use after the change takes effect constitutes acceptance. If you do not accept the change, you may cancel your subscription.

18. Governing law and disputes

These Terms and any non-contractual obligations arising from them are governed by the law of the Republic of Croatia, without prejudice to mandatory provisions of European Union law.

The parties will first attempt to resolve any dispute amicably. Failing that, the courts having jurisdiction at the registered seat of Tesla Solution d.o.o. in the Republic of Croatia shall have exclusive jurisdiction, unless mandatory law provides otherwise.

19. Miscellaneous

  • If a provision is invalid, the remaining provisions stay in force and the invalid provision is replaced by a valid one closest to its economic purpose.
  • You may not assign these Terms without our prior written consent; we may assign them in connection with a reorganisation or transfer of business.
  • These Terms, together with the Privacy Policy, the Cookie Policy and, where applicable, the Data Processing Agreement, form the entire agreement between the parties regarding the Platform.
